NANO Nuclear Q3 FY2026: first revenue of $214,042 came from trucking

NANO Nuclear issued no revenue or earnings guidance for the quarter, so the test is the year-ago quarter: the operating loss widened 68% to $15.83M and the net loss 33% to $10.10M. Over nine months the net loss narrowed only because other income rose to $15.34M on a ~$580M cash pile.

What changed this quarter

NANO Nuclear reported its first-ever revenue of $214,042, attributable to Secured Transportation Services, a nuclear-materials transport business acquired on 22 May 2026 — not to any reactor. The company issued no revenue or earnings guidance for the quarter in its prior-quarter SEC filings, so the only test is the year-ago quarter, against which the net loss widened 33% to $10.10 million and loss per share held at $0.19. The quarterly operating loss widened 68% to $15.83 million and general and administrative expense more than doubled to $11.86 million, three times research and development. Across nine months the operating loss widened 16% while the net loss narrowed 19%, entirely because other income rose from $3.79 million to $15.34 million on a cash pile that now stands at about $580 million.

NANO Nuclear is developing microreactors — small, factory-built nuclear units intended to be trucked to a site and switched on. Its lead design is KRONOS MMR; LOKI MMR and ZEUS sit behind it. None has been built, licensed or sold.

This quarter the company reported the first revenue in its history. The figure deserves to be read closely.

The first revenue is $214,042

Q3 FY2026Amount
Revenue$214,042
Cost of revenue$(151,831)
Gross margin$62,211 (29.1%)

In the same quarter a year earlier, revenue was zero. So was it for the nine months before this one: the $214,042 is the entire revenue of the fiscal year to date.

The 10-Q states the source without ambiguity: the revenue “was attributable to our STS Acquisition following our acquisition of STS on May 22, 2026.” STS is Secured Transportation Services LLC, a business that moves nuclear materials — trucks, licences and drivers. The company describes the rationale as building “nuclear transportation capabilities to move our reactors, their fuel, and other special materials”.

That is a coherent piece of vertical integration, and owning the logistics for a fuel-and-reactor business is a reasonable thing to buy. But it means the milestone is precisely this: NANO Nuclear’s first revenue came from a haulage company it bought seven weeks before quarter end, for six weeks of trading. It did not come from a reactor, a reactor design, a licence, or fuel.

For scale: $214,042 against $628.0 million of total assets is 0.034%.

Did NANO Nuclear issue guidance for Q3 FY2026?

No — NANO Nuclear issued no revenue or earnings guidance for the quarter: its Q2 FY2026 release (Form 8-K, Exhibit 99.1, filed May 15, 2026) gives licensing and business milestones but no financial outlook, and its Q2 FY2026 10-Q says it does not expect “any significant revenue unless and until we are able to commercialize our reactors.” That leaves the year-ago quarter as the only yardstick. Against it, revenue went from nil to $214,042, the loss from operations widened 68.5% to $(15.83) million (our arithmetic), the net loss widened 33% to $(10.10) million (our arithmetic), and loss per share was $(0.19) in both periods.

The loss got worse; the bottom line got better

This is the most useful thing in the filing, and it takes two tables to see.

The quarter:

Q3 FY2026Q3 FY2025Change
General and administrative$11.86M$5.32M+122.8%
Research and development$3.99M$3.67M+8.9%
Loss from operations$(15.83)M$(9.39)M68.5% worse
Other income$5.37M$1.80M+199%
Net loss$(10.10)M$(7.59)M33% worse

The nine months:

FY2026 9MFY2025 9MChange
Loss from operations$(41.46)M$(35.80)M$5.65M worse
Other income$15.34M$3.79M$11.55M better
Net loss$(25.80)M$(32.02)M$6.22M better

Across nine months the business lost $5.65 million more at the operating line, and the reported net loss still improved by $6.22 million. The entire reversal — and more — is the $11.55 million increase in other income, which is overwhelmingly interest earned on the money raised from shareholders.

Loss per share tells the same story with the dilution folded in: $(0.50) for nine months against $(0.87), an apparent 43% improvement, on a share count 34% larger.

None of this is improper. Interest on idle cash is real income and the company is right to bank it. But a reader who takes “the loss narrowed” as evidence that the reactor business is progressing has read the wrong line. The improvement is the bank balance, not the business.

Where the money is going

The composition of spending is worth its own look.

Q3 FY2026AmountGrowth
General and administrative$11.86M+122.8%
Research and development$3.99M+8.9%

G&A is now three times R&D, and it grew fourteen times faster. Over nine months the same pattern holds more mildly: G&A $27.34 million (+16.2%), R&D $15.05 million (+33.4%).

Some of the quarterly G&A jump will be the STS acquisition — deal costs, and a operating business consolidated for the first time. But for a company whose entire value rests on getting a reactor design licensed and built, the ratio between administrative spend and engineering spend is a number worth tracking rather than assuming.

Two structural moves in the period point the same direction — toward focus. The company has signed a definitive asset purchase agreement, amended in June 2026, to sell its ODIN microreactor design to Cambridge Atomworks, the UK developer that had been building it under contract, on the grounds that every other NANO design sits in the high-temperature gas-cooled family. And corporate emphasis is stated as being on KRONOS MMR as the lead project.

The balance sheet is the real asset today

Against a nine-month operating loss of $41.5 million, roughly $580 million of cash and short-term investments is a very long runway — on that burn rate, well over a decade. There is essentially no debt: total current liabilities are $7.4 million.

The funding came from shareholders. Additional paid-in capital rose $419.3 million in nine months and weighted-average shares went from 39.0 million to 52.3 million, up 34.3%. Shares issued and outstanding reached about 53.7 million against 41.7 million at the fiscal year end.

Property, plant and equipment nearly doubled to $19.0 million, and goodwill and intangibles appear for the first time — the accounting footprint of the STS purchase.

Liquidity$298.5 million of cash plus $281.5 million of short-term investments

The bear case, stated fairly

  1. The first revenue is $214,042 and it is haulage. Six weeks of an acquired trucking business, not a reactor, a licence or fuel.
  2. The quarterly operating loss widened 68% and the nine-month operating loss widened 16%.
  3. The improvement in the net loss is interest income, up $11.55 million over nine months on money raised from shareholders.
  4. G&A is three times R&D and grew 122.8% against 8.9% in the quarter.
  5. Dilution is continuous — 34.3% more weighted-average shares year over year, with $419.3 million of new paid-in capital in nine months.
  6. No reactor exists. The company states it cannot assure that construction, licensing and commercialisation goals will be met as anticipated.
  7. Loss per share flattered by dilution: nine-month EPS improved 43% while the net loss improved 19%.

The bull case is not empty, and it is worth stating. The company has roughly $580 million of cash and short-term investments, essentially no debt, and total equity of $616 million — enough to fund a decade of development at the current burn without returning to the market. It has narrowed its portfolio by agreeing to sell ODIN and concentrating on KRONOS. It has bought a licensed nuclear-transport business, which is a genuine scarce asset in this industry and the kind of capability a reactor company eventually needs. It is building a fuel supply chain through HALEU Energy Fuel. And it has, for the first time, an operating business that invoices customers — small, but real.

What to check at the Q4 FY2026 report

  • Revenue against $214,042, and its source. A full quarter of STS gives the first clean read on what the transport business earns. Watch whether any revenue ever appears from a non-acquired source.
  • R&D against $3.99 million. This is the reactor programme. If it stays flat while G&A grows, the spending mix is telling you what the company is actually doing.
  • The operating loss against $(15.83) million, not the net loss. The net loss is currently a story about interest rates.
  • Cash and short-term investments against $580.0 million, and whether another raise is announced.
  • Share count against 52.3 million weighted average. Every raise so far has come from equity.
  • KRONOS licensing milestones — any filing, permit or regulatory step is worth more than a quarter of interest income.
  • Completion of the ODIN sale to Cambridge Atomworks, and what it realises.

The read

NANO Nuclear had a quarter of firsts and an unremarkable one for its underlying business. The first revenue is a genuine milestone in the narrow sense that the number is no longer zero, but it came from a trucking company bought in May, and at $214,042 it is 0.03% of the balance sheet. Meanwhile the operating loss widened, administrative costs more than doubled, and the improvement in the headline loss was interest earned on cash raised from shareholders.

That is not a criticism of the strategy. Pre-revenue nuclear development is exactly this: raise money, spend years, and hope the licence arrives before the cash runs out. On that measure NANO is well placed — $580 million, no debt, and a decade of runway.

For anyone holding NNE, the discipline is to ignore both the revenue line and the net loss for now. The revenue is a haulage business and the net loss is a savings account. Read R&D, read the operating loss, and read the licensing milestones on KRONOS — those three are the only things that will decide whether the cash pile ever becomes a reactor.

These were read directly from the filing on SEC EDGAR, which is linked above. NANO Nuclear’s fiscal year ends 30 September, so this is the third quarter of fiscal 2026 and the balance-sheet comparative is 30 September 2025.

NANO Nuclear issued no quarterly revenue or earnings guidance — its Q2 FY2026 release (Form 8-K, Exhibit 99.1, filed 2026-05-15) contains no financial outlook — so whether the quarter beat or missed is judged here only against the year-ago quarter.

Not company figures, and attributed accordingly: the pre-print analyst consensus of a loss of about $0.26 per share ($0.2595) against the $0.19 reported — narrower by about $0.07 (our arithmetic) — as shown in MarketBeat’s earnings table for the 8/12/2026 report (cited above). This piece makes no claim about the share-price reaction.

Our arithmetic, labelled as such: the 29.1% gross margin on the reported revenue; revenue at 0.03% of total assets; the 122.8% and 8.9% growth rates in quarterly general and administrative and research and development expense and the 3.0x ratio between them; the 16.2% and 33.4% nine-month growth rates for the same lines; the 68.5% widening of the quarterly operating loss and the 33% widening of the quarterly net loss; the decomposition of the nine-month result — a $5.65 million wider operating loss against an $11.55 million increase in other income producing a $6.22 million narrower net loss; the 34.3% increase in weighted-average shares and the $419.3 million increase in additional paid-in capital; the combined $580.0 million of cash and short-term investments; and the runway implied by that balance against a $41.5 million nine-month operating loss. These are approximations built on disclosed figures, not reported numbers. The interpretation — that the first revenue is an acquired haulage business rather than a reactor, that the improvement in the net loss is interest income rather than operating progress, and that the R&D line is the one to follow — is our analysis, not a company statement, and is not a forecast.
